These Terms of Service (“Terms”) govern your access to and use of the Zaventory platform (the “Service” or “Zaventory”), including our website, applications, and related services, operated by Zaventory Software (Pty) Ltd (“we”, “us”, “our”, or “Zaventory”), a company registered in the Republic of South Africa.

IMPORTANT – ALPHA STAGE NOTICE
Zaventory is currently in alpha stage. This means the Service is a pre-release, early-development version provided for testing, evaluation, and feedback purposes only. It is not a production-ready product. The Service may contain significant bugs, errors, incomplete features, instability, security vulnerabilities, data loss risks, and frequent disruptive changes. Use is at your own risk. We strongly recommend against using the Service for production, live inventory management, critical business operations, or with real/commercial data without appropriate backups and safeguards.

By accessing, registering for, or using the Service in any way, you acknowledge and agree to these alpha-stage limitations and the Terms below. If you do not agree, you must not access or use the Service.

1. The Service (Alpha Stage)

Zaventory is a cloud-based inventory management SaaS platform in alpha development. Features may be incomplete, change without notice, or be removed entirely. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during the alpha period solely for internal evaluation, testing, and feedback purposes (not for production use), subject to these Terms.

We may modify, suspend, limit, or discontinue any part of the Service (or the entire alpha version) at any time, with or without notice, without liability to you.

2. Accounts and Registration

To use the Service, you must create an account with accurate information. You are responsible for your login credentials and all activities under your account.

We may suspend or terminate accounts for any reason during alpha, including to manage testing load, address issues, or prioritize feedback.

3. Subscriptions and Payments (Alpha Stage)

During alpha, access may be free, invitation-only, discounted, or paid on a trial/subscription basis as displayed in your account or on our site. Pricing and terms may change frequently.

We use Polar.sh as our payment processor (Merchant of Record). Payments follow Polar.sh terms (incorporated by reference).

Alpha fees (if any) are non-refundable except as required by law. No guarantees of future pricing, features, or continued access post-alpha.

Auto-renewal may apply if you subscribe; cancel via account settings before renewal.

4. Acceptable Use

You agree not to: - Use the Service for production, commercial, or mission-critical purposes - Rely on the Service for accurate inventory tracking without independent verification - Upload sensitive, personal, or regulated data without accepting high risk of loss/corruption - Reverse engineer, scrape, or misuse the Service - Introduce malware or interfere with operations - Violate laws

We may suspend/terminate access immediately for violations or to protect the alpha environment.

5. Your Data and Inventory Content

You retain ownership of data you upload (“Your Data”). However, due to alpha status: - Data loss, corruption, or deletion is likely and possible without warning - We recommend not using real business data; use test/dummy data only - Maintain your own backups — we provide no guarantee of data recovery or preservation

You grant us a broad license to use Your Data to provide/maintain the Service, analyze usage, and improve the product (including during alpha testing).

We act as processor under your instructions where data protection laws apply.

6. Feedback

Any suggestions, ideas, bug reports, or feedback you provide during alpha (“Feedback”) may be used by us without restriction or compensation. You grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate Feedback into the Service or other products.

7. Intellectual Property

The Service (including alpha code, designs, trademarks) remains our property. No ownership transfers except the limited evaluation license.

8. Support and Availability (Alpha Stage)

Support is limited or unavailable during alpha. No formal SLA, uptime guarantees, or priority response times apply. Assistance is provided at our sole discretion (e.g., via community channels or email if we choose).

The Service may be down, slow, or unavailable frequently for development/testing.

9. Third-Party Services

Relies on Polar.sh (payments) and others (e.g., hosting). Their terms apply. Google Analytics used per Privacy Policy.

10. Warranties and Disclaimers (Alpha Stage)

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITH ALL FAULTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES (EXPRESS, IMPLIED, STATUTORY), INCLUDING MERCHANTABILITY, FITNESS FOR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND UNINTERRUPTED/ERROR-FREE OPERATION.

SPECIFICALLY FOR ALPHA STAGE: - No warranty the Service will meet needs, function without interruption, be secure/bug-free, or achieve any result - High risk of bugs, crashes, data loss, feature removal, or breaking changes - Not suitable for production use - No indemnity or support obligations apply to alpha use

Nothing excludes liability for gross negligence, willful misconduct, or as prohibited by South African law (e.g., Consumer Protection Act).

11. Limitation of Liability

Our total liability shall not exceed fees paid (if any) in the prior 12 months — or R1,000 if no fees paid.
We are not liable for indirect, consequential, special, incidental, or punitive damages (lost profits, data loss, business interruption), even if advised.

12. Indemnification

You indemnify us against claims arising from your use (especially production/reliance despite alpha warnings), Your Data, or violations.

13. Termination

We may terminate/suspend access at any time (common in alpha).
You may stop using anytime. Upon termination, access ends; data may be deleted soon after.

14. Governing Law and Dispute Resolution

Governed by laws of the Republic of South Africa. Exclusive jurisdiction of South African courts.

15. Changes to These Terms

We may update Terms anytime (posted here). Continued use = acceptance. Material changes notified where practical.
